In short. You own a license to use this instrument in your own music and commercial work, forever, with no extra fees or attribution. Install it on as many of your own computers as you like, as long as you're the only one using it. You may sell your license on if you no longer need it, as long as you delete your own copies. Please don't share, repackage, or redistribute the sounds in isolation, and don't use them to train AI. The full terms below govern your use; this summary is for convenience only.
1. Introduction
This End User License Agreement ("Agreement") is a legal contract between you ("Licensee", "you") and Tonal Matter AB, org. nr 559514-0787, a company registered in Sweden ("Licensor", "Tonal Matter", "we" or "us").
By purchasing, downloading, installing, or using any Tonal Matter product ("Product"), you agree to be bound by this Agreement.
If you do not accept these terms, do not download, install, or use the Product.
2. License Grant
The Product is licensed, not sold. Tonal Matter AB grants you a non-exclusive, non-transferable, non-sublicensable, worldwide, perpetual license to:
- Use the Product to create original music, soundtracks, audio compositions, and audiovisual works for commercial or non-commercial purposes.
- Distribute such finished works without limitation in perpetuity.
- Use the Product in professional, commercial, and freelance contexts without additional fees or attribution requirements.
You may use the Product's sounds, samples, and presets only within your own newly-created works, combined with other sounds and incorporated as an integral part of a musical composition or audiovisual work, in a manner that renders the result substantially dissimilar to the isolated original content. You may not use the Product's content in isolated, unprocessed, or standalone form (see Section 4).
This license is granted solely to the original purchaser and takes effect on the date you download, install, or first use the Product, whichever is earliest.
3. Installation & Permitted Use
You may:
- Install and use the Product on any computers that you personally own or control, provided that all installations are for your own sole use. You may not share the Product, your license, your account credentials, or your download links with any other person, and you may not allow anyone else to use the Product under your license.
- Render, bounce, and record audio created with the Product.
- Use the Product in films, TV, games, advertisements, podcasts, live performances, installations, streaming, and commercial releases.
- Create backup copies for personal archival purposes.
4. Prohibited Use
You may NOT:
- Redistribute, resell, loan, rent, share, sublicense, or make available any of the Product's samples, presets, scripting, or content — in isolation or as part of a competitive product.
- Use the samples to create sample libraries, virtual instruments, soundware products, loop packs, stem packs, construction kits, or any audio product intended for redistribution.
- Distribute individual samples or presets in unprocessed, isolated, or "naked" form, including as standalone sound effects (for example, isolated sounds in games, gaming machines, toys, or sound-effect libraries).
- Use the Product's sounds in a manner that is recognizably the unaltered Product rather than incorporated into your own original work, where doing so would substitute for a separate license of the Product.
- Share files via peer-to-peer networks, public cloud storage, or any file-sharing platform that grants third parties access.
- Reverse engineer, decompile, disassemble, or modify the Product for redistribution or extraction purposes.
- Circumvent, disable, or interfere with any copy-protection or licensing mechanism.
5. Prohibition on AI & Machine Learning Use
Strictly prohibited without our prior express written consent: using the Product, its audio content, presets, or any derivatives thereof for training, developing, fine-tuning, or improving:
- Artificial intelligence (AI) systems
- Machine learning models (ML)
- Large language models (LLM)
- Neural networks or generative audio systems
- Audio recognition, classification, or synthesis systems
This prohibition applies to both commercial and non-commercial use, and encompasses direct and indirect applications. Uploading samples or derivatives to AI training datasets is expressly forbidden. We may grant written consent on a case-by-case basis on mutually agreed terms; any such consent must be signed by an authorised representative of Tonal Matter AB.
6. License Transfer (Resale)
This license is personal to you. You may, however, permanently transfer your license to another person through a genuine resale if you no longer require the Product, subject to all of the following conditions:
- You transfer the license in its entirety and retain no rights to use the Product after the transfer.
- You permanently delete all copies of the Product, including backups, from all of your devices.
- The new owner agrees to be bound by this Agreement.
- The transfer is a one-time, genuine resale and not part of any commercial redistribution, rental, lending, or sharing arrangement.
Apart from such a genuine resale, you may not sell, sublicense, rent, lend, share, or otherwise make the license or the Product available to any other person or entity. Any attempted transfer that does not meet these conditions is void and terminates your license.
7. Ownership & Intellectual Property
All samples, recordings, source files, presets, scripting, artwork, documentation, and the "Instrumental Places" concept and name remain the sole intellectual property of Tonal Matter AB, protected by Swedish and international copyright law. The Licensee acquires no ownership rights — only a limited right of use as specified in this Agreement. All rights not expressly granted are reserved.
8. Third-Party Software Requirements
Some Products require Kontakt or Kontakt Player, developed by Native Instruments GmbH, and are subject to that software's own terms. All rights to Kontakt remain with their respective owners.
Tonal Matter is not responsible for compatibility issues, updates, changes, or discontinuation of third-party software, including any change to the corporate status, ownership, or availability of Native Instruments or the Kontakt platform. It is your responsibility to verify that your system and software environment meet the Product's stated requirements before purchase.
9. Refund Policy
Because Products are digital goods delivered electronically, all sales are final once download access has been provided. See our Terms of Sale and your statutory right of withdrawal (Section 13) for details and exceptions.
Refunds may be provided where required by mandatory consumer protection laws in your jurisdiction, or in cases of genuine technical issues that prevent the Product from functioning and that cannot be resolved through support.
10. Updates & Support
Tonal Matter may provide updates, improvements, or bug fixes at its discretion. There is no guarantee of ongoing updates or feature additions.

11. Termination
This license terminates automatically if you materially violate the terms of this Agreement. Upon termination, you must immediately delete all copies of the Product and cease all use.
Termination of the license does not affect your right to continue using finished musical or audiovisual works you lawfully created with the Product before termination.
Tonal Matter reserves the right to pursue legal remedies for breach, including claims for damages and reasonable legal costs, to the extent permitted by law.
12. Indemnification
To the extent permitted by applicable law, and except where you are acting as a consumer in a way that mandatory consumer-protection law prevents this clause from applying, you agree to defend, indemnify, and hold harmless Tonal Matter AB, its owners, employees, and agents from and against any third-party claim, demand, liability, cost, or expense (including reasonable legal fees) arising out of or related to: (a) your breach of this Agreement; (b) your misuse of the Product; or (c) your infringement of any intellectual property or other right of a third party in connection with your use of the Product.
13. Injunctive Relief
You acknowledge that unauthorised copying, distribution, or other breach of Sections 4, 5, 6, or 7 may cause irreparable harm to Tonal Matter for which monetary damages alone would be an inadequate remedy. Accordingly, Tonal Matter shall be entitled to seek injunctive or other equitable relief to prevent or stop such breach, in addition to any other remedies available at law, without being required to post a bond where permitted.
14. Disclaimer & Limitation of Liability
The Product is provided "as is" without warranty of any kind, express or implied, to the maximum extent permitted by applicable law. Tonal Matter makes no warranties regarding fitness for a particular purpose, compatibility, or uninterrupted functionality.
To the maximum extent permitted by law, Tonal Matter shall not be liable for loss of revenue, loss of data, business interruption, or any indirect, consequential, or incidental damages. Our maximum aggregate liability shall not exceed the purchase price of the Product.
Nothing in this Agreement excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, for fraud, or for any other liability that may not lawfully be excluded.
15. Consumer Rights
Nothing in this Agreement excludes or limits any rights you have under mandatory consumer protection laws in your jurisdiction. If you are an EU/EEA consumer, this Agreement does not affect your statutory rights, including those under the Consumer Sales Directive and the Consumer Rights Directive. If any provision conflicts with such laws, that provision shall be modified to the minimum extent necessary to comply, while preserving the remaining terms.
16. Severability
If any provision of this Agreement is found invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
17. Force Majeure
Tonal Matter shall not be liable for any failure or delay in performing its obligations under this Agreement where such failure or delay results from events beyond its reasonable control, including but not limited to acts of God, failures of internet or telecommunications infrastructure, actions of third-party platform or software providers, or the insolvency or discontinuation of third-party services on which the Product depends.
18. No Waiver
No failure or delay by Tonal Matter in exercising any right or remedy under this Agreement shall operate as a waiver of that or any other right or remedy, nor shall any single or partial exercise preclude any further exercise of it.
19. Amendments
Tonal Matter reserves the right to modify this Agreement for future purchases. The version in effect at the time of your purchase governs that purchase. Material changes will be communicated via email or published on our website.
20. Governing Law & Jurisdiction
This Agreement is governed by the laws of Sweden, without regard to conflict of law principles.
Before initiating any legal proceedings, you agree to first contact us in writing at support@tonalmatter.com, describe the dispute, and allow at least thirty (30) days for good-faith informal resolution. This requirement does not apply where urgent injunctive relief is sought or where it would prevent you from meeting a legal deadline.
Disputes shall be resolved in the Gothenburg District Court (Göteborgs tingsrätt), Sweden.
EU Consumers: Mandatory consumer-protection rules in your country of residence are not affected by this clause, and you may also bring proceedings in the courts of your country of residence. You may also use the EU Online Dispute Resolution platform at ec.europa.eu/odr.
