These Terms of Sale govern all purchases made through the Tonal Matter website (www.tonalmatter.com). By placing an order, you agree to these terms. They apply alongside our End User License Agreement (EULA) and Privacy Policy.

2. Website Use

By accessing our website, you agree to use it only for lawful purposes. You may not use automated systems (bots, scrapers, or crawlers) to access or collect content from the website without our prior written permission. You may not attempt to gain unauthorized access to any part of the website or its systems.

All website content — including text, images, audio previews, videos, product descriptions, and branding — is owned by Tonal Matter AB or its licensors and is protected by Swedish and international copyright and trademark law. The names "Tonal Matter" and "Instrumental Places" are trademarks of Tonal Matter AB. You may not reproduce, distribute, or commercially exploit any website content without our prior written permission.

3. Products

Tonal Matter sells digital products: sample libraries, virtual instruments, and related software delivered electronically via download.

All products are licensed under the End User License Agreement (EULA) available on our website. By purchasing, you agree to the EULA.

4. Pricing & Currency

  • All prices are displayed in EUR (€) unless otherwise specified.
  • Prices are inclusive of VAT for EU consumers. VAT is calculated based on your country of residence.
  • Business customers with a valid VAT number may be subject to the reverse-charge mechanism on cross-border EU purchases.
  • We reserve the right to change prices at any time. The price displayed at the time of purchase applies to that order.

5. Payment Methods

We accept the following payment methods:

  • Credit/Debit Cards (Visa, Mastercard, American Express) via Shopify Payments
  • Apple Pay, Google Pay
  • Klarna (Pay Later / Installments — availability varies by country)
  • PayPal (where available)

Payment is processed securely through our payment providers. We do not store your full payment card details.

6. Order Processing & Delivery

  • Orders are processed automatically upon successful payment.
  • You will receive an email confirmation with download links shortly after purchase.
  • Download links are accessible from your account.
  • If you do not receive your download email within 15 minutes, check your spam folder or contact support@tonalmatter.com.

7. Refund Policy

Due to the nature of digital products and the waiver of the right of withdrawal described in Section 7, all sales are final once download access has been provided. We cannot offer refunds or exchanges except as set out below.

Exceptions: We may provide a refund where:

  • The product is materially different from its description.
  • A technical issue prevents the product from functioning, and our support team cannot resolve the problem.
  • A duplicate purchase was made in error (contact us within 24 hours).
  • A refund is required under mandatory consumer protection law in your jurisdiction.

Refund requests should be submitted to support@tonalmatter.com within 14 days of purchase.

8. EU Consumer Rights — Right of Withdrawal

Under EU consumer law, you normally have a 14-day right of withdrawal for online purchases. For digital content delivered immediately (such as sample libraries), this right is lost once download or delivery has begun, provided that you have:

  1. given your prior express consent to immediate delivery before the end of the withdrawal period, and
  2. acknowledged that you thereby lose your right of withdrawal.

At checkout, by ticking the required consent box and completing your purchase, you expressly consent to immediate delivery and acknowledge that you lose your right of withdrawal once the download begins.

9. Technical Requirements

Each product page specifies the technical requirements (operating system, required software such as Kontakt or Kontakt Player, and storage space). It is your responsibility to verify compatibility before purchasing.

Tonal Matter is not responsible for issues arising from incompatible systems or failure to meet stated requirements.

10. Limitation of Liability

To the maximum extent permitted by law, Tonal Matter's liability for any claim arising from a purchase is limited to the amount paid for the product. We are not liable for indirect, incidental, or consequential damages. Nothing in these Terms limits liability that cannot be limited under applicable law, including your mandatory consumer rights.

11. Governing Law

These Terms of Sale are governed by Swedish law. Disputes shall be resolved in the Gothenburg District Court (Göteborgs tingsrätt).

EU Consumers: Mandatory consumer-protection rules of your country of residence are not affected, and you may bring proceedings there. You may also use the EU Online Dispute Resolution platform at ec.europa.eu/odr.

12. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable. The remaining provisions will continue in full force and effect.

13. Changes to These Terms

We may update these Terms of Sale from time to time. The version in effect at the time of your purchase applies to that transaction.
